1. Identity, scope, and B2B nature
These terms govern the business subscription to Ordera Food, a software-as-a-service (SaaS) offering provided by Edward Alejandro Azuaje Rojas, CUIT 23-96013276-9, proprietor of Ordera Food, with a publishable address in the Autonomous City of Buenos Aires, Argentine Republic, and contact at [email protected] (“Ordera”).
The customer under this agreement is the business, professional, or organization purchasing a subscription (“Merchant”). These terms do not govern the sale of food, products, or other goods between the Merchant and its end customers. That transaction is governed by the Checkout Terms and the rules and policies disclosed by the Merchant.
The proprietor’s full street address may be disclosed individually when required by law or a competent authority, while seeking to protect security and personal data.
2. Service, account, and authorized use
Ordera provides digital tools that may include catalogs, orders, point of sale, inventory, delivery, customers, reports, integrations, invoicing, or other modules according to the subscribed plan. Available features, limits, countries, integrations, and modules are disclosed before purchase and may vary by plan.
The Merchant must provide accurate information, secure credentials, assign appropriate staff permissions, and comply with laws applicable to its business. It is responsible for its products, prices, taxes, promotions, customer service, deliveries, receipts, personnel, end customers, and uploaded content. The service may not be used for fraud, unlawful activities, infringement, unauthorized access, technical interference, or unauthorized resale.
Ordera may take reasonable security measures and restrict abusive use or suspend access in the event of technical risk, fraud, or serious legal or contractual breach. Where reasonable, Ordera will provide notice and an opportunity to cure before suspension. Maintenance and external events may cause interruptions.
3. Contracting and express acceptance
Contracting requires an affirmative act, such as selecting an unticked checkbox and confirming the order, or signing a proposal that identifies these terms. Mere visits, browsing, silence, or incidental use do not constitute acceptance. A person accepting for a Merchant represents that they have sufficient authority.
Promoters, affiliates, consultants, and referrers are not Ordera representatives or agents and may not enter into contracts, amend terms, guarantee results, or collect money for Ordera. Payments must be made only through channels communicated directly by Ordera.
4. Billing and renewal authorization
Plans are quoted monthly or annually using Ordera pricing rules. Modules apply to the entire Merchant; the quote may include location charges. The amount, currency, frequency, expected first charge and conditions are shown before enrollment. Creating an invoice or continuing a contractual term does not prove payment.
Automatic renewal requires explicit acceptance using an initially unticked checkbox and confirmation. Ordera records the person, time, terms version and quote. Silence, browsing and earlier manual payments do not grant authorization. The Merchant authorizes the enabled provider to collect the selected recurring amount until cancellation. Returning from checkout does not prove payment; Ordera confirms payment on the server.
Mercado Pago is intended for ARS and Creem for approved international currencies, subject to approval and enablement. Only operational channels are offered. Ordera does not offer PayPal directly for new SaaS subscriptions. Buyers' payments to the Merchant remain independent.
When a purchase is made through Creem, Creem is the seller of the transaction and contractual reseller of the service (Merchant of Record). It handles payment, the purchase invoice and applicable indirect taxes. Ordera remains responsible for delivering the software, providing access and product support. These terms govern use of Ordera; the purchase and Creem payment services are also governed by its buyer terms. The total amount, currency, applicable taxes and frequency are disclosed before confirmation. Ordera's internal invoices do not replace Creem's purchase invoice. Mentioning an unavailable channel does not enable enrollment or authorize charges.
The free trial retains the duration configured for the plan. No card or automatic charges are requested during the trial. Afterwards, the owner must accept the quote and authorize the subscription; silence never triggers conversion. Without enrollment, data and billing access are retained. The seven-day grace period applies to unpaid renewals of an enrolled subscription, not to extending the free trial.
New recurring subscriptions charge a full cycle and follow the monthly or annual anniversary of the first payment, with effective dates confirmed by the provider. Manual payments retain their calendar. Paid periods are not charged again. Enrollment replaces the initial pending invoice while preserving its history; the recurring invoice remains pending until payment is confirmed.
Plan, module and location changes are reviewed for the next cycle: first cancel the earlier renewal, retain paid access and obtain fresh authorization for the new quote. The authorized amount is not changed silently; automatic proration is excluded from this first version.
5. Expiration, cancellation and refunds
A seven (7) calendar-day grace period follows expiration to regularize nonpayment. Grace is not paid coverage and does not change the payment mandate. Providers may retry collection under their terms. While a renewal or payment attempt remains pending, Ordera blocks a second manual payment for that subscription. Access may be suspended after grace expires. Administrative suspension is independent and is not automatically lifted by payment.
The owner may request “Cancel subscription” in My plan and billing, including when overdue, suspended for nonpayment or without operational locations. After confirmation, Ordera asks the provider to stop renewals. Cancellation is reported only after provider confirmation; otherwise “Cancellation pending” is shown and reconciliation continues. Paid access remains until the confirmed paid end date, without an additional cancellation grace period. Already initiated attempts are reconciled separately. Late payments do not reactivate a canceled mandate or lift administrative suspension.
For a Creem purchase, cancellation can also be managed through the customer portal linked in Creem's purchase email. If you cannot access the dashboard or portal, contact [email protected]; portal and transaction inquiries can also be directed to Creem. The effective date must be verified with the provider. Stopping use of Ordera or not signing in does not stop an authorized renewal.
Cancellation does not delete the Merchant, users or data, or extinguish existing debt. Cancellation stops future renewals and retains paid access; requesting a refund is a separate process described below. Applicable mandatory rights prevail.
6. SaaS subscription refund policy
The Merchant may request a full refund of the first payment within fourteen (14) calendar days of that payment, for either a monthly or annual plan, without having to justify a reason or demonstrate how much the service was used. This commercial guarantee applies to the first payment, does not restart with each renewal and does not limit broader statutory rights. After that period, including renewal payments, refunds are considered for duplicate charges, verifiable errors, legal obligations or a material Ordera breach not remedied within a reasonable time. In the latter case, the refund is proportional to the affected period. Cancellation alone does not refund unused time.
To request a refund, email [email protected] with the account email, payment reference or receipt and date. Providing a reason is optional when requesting the first-payment refund guarantee within 14 days. Do not send passwords, full card details or security codes. Ordera will review the request under this policy and reply to the registered email. An eligible refund of a Creem payment is requested and executed exclusively through Creem, under its procedures and buyer terms; Ordera does not replace it with cash, bank transfer or another external channel. Payments made through other channels are refunded through their corresponding channel.
Customers may use refund options offered in Creem's portal. If an issue remains unresolved with Ordera, they may contact Creem. Creem retains its authority to issue refunds under its terms, legal requirements, errors or disputes. This policy does not limit that authority or customers' non-waivable rights. Accessing the service does not require waiving withdrawal rights, statutory remedies or complaints.
A request is not an approval or a credited refund. Crediting time depends on Creem and the payment method; no fixed bank processing time is promised. A fully refunded period has its corresponding access reviewed and adjusted; a partial refund does not remove unrelated paid periods. Stopping future renewals is confirmed separately. Data are retained, and export and termination follow the next section.
7. Data, export, and end of service
Each party retains rights in its brands, software, information, and content. The Merchant authorizes Ordera to process uploaded content only to provide, secure, maintain, and improve the service under the Privacy Policy and, where applicable, the Data Processing Agreement.
After termination, Ordera will provide, upon request, a manual export in a reasonably available format for thirty (30) days. The Merchant is responsible for requesting and retaining it. Data may then be deleted from active systems; residual backup copies may remain for up to ninety (90) days, subject to applicable legal duties and requirements concerning security, fraud prevention, legal claims, or retention.
8. Intellectual property and feedback
Ordera and its licensors retain all rights in the platform, code, design, documentation, and marks. The subscription grants the Merchant a limited, non-exclusive, non-transferable, revocable right to use the service during the purchased term. It does not authorize copying, decompilation, circumvention of controls, exploitation of vulnerabilities, or systematic extraction to build a competing service, except where mandatory law permits.
Feedback may be used without an obligation to implement it or identify the Merchant, and without taking ownership of its confidential information or personal data.
9. Confidentiality, availability, and liability
Each party will protect the other’s confidential information with reasonable care and use it only to perform the relationship. Information is not confidential if it becomes public without breach, was already lawfully known, is lawfully obtained from a third party, or is independently developed.
Ordera will provide the service with reasonable care but does not guarantee uninterrupted operation, sales, profitability, universal compatibility, or tax or business outcomes. Third-party integrations depend on their providers. Nothing excludes liability that cannot lawfully be excluded. To the fullest extent permitted, neither party is liable for indirect damages or unforeseeable lost profits, and Ordera’s aggregate service-related liability is limited to amounts paid by the Merchant during the twelve months before the event. The limit does not apply to fraud or willful misconduct, gross negligence where non-waivable, personal injury, attributable confidentiality or personal-data breaches, or obligations that cannot be limited.
10. Changes, termination, and notices
Ordera may change the service or these terms for legal, technical, or commercial reasons. Material changes will be disclosed with reasonable advance notice and apply to a later purchase or term, except in legal or security emergencies. If the Merchant rejects a material change, it may decline to purchase the next term.
Either party may terminate for a material breach not cured after notice and a reasonable cure period; immediate action may be required for fraud, security risk, or illegality. Contract notices will be sent to registered email addresses.
11. Governing law and jurisdiction
These terms are governed by the laws of the Argentine Republic, and disputes are submitted to the competent courts of the Autonomous City of Buenos Aires, without prejudice to foreign mandatory rules that apply and cannot be excluded by agreement. Before litigation, the parties will seek a good-faith solution through [email protected].
12. Final provisions
If a clause is invalid, it will be adjusted only as necessary and the remaining clauses will continue in effect. Failure to enforce a right is not a waiver. The Merchant may not assign this agreement without Ordera’s reasonable consent; Ordera may assign it with continuity of obligations and notice. These terms, the accepted proposal, the Privacy Policy, and any applicable DPA form the entire SaaS agreement.
Country-specific provisions
International subscriptions in USD
“Rest of the world” is a commercial grouping, not a country or a choice of jurisdiction. The Merchant must provide their actual country and accurate billing details at checkout. International subscriptions are quoted in United States dollars (USD); the total and applicable taxes are displayed before payment confirmation. Creem sells the transaction as Merchant of Record and determines indirect taxes based on the buyer’s country and tax status. Payments remain subject to Creem’s supported countries and activities and approval of Ordera’s account; selecting this grouping does not guarantee availability in every territory. Mercado Pago is reserved for ARS payments.
The service is offered for the Merchant’s business activities. Anyone with mandatory consumer rights under applicable law retains those rights even though these terms describe a business subscription. The law and forum specified for Ordera’s service do not exclude mandatory protections or available remedies in the customer’s actual country. Purchases from Creem are governed by its checkout and buyer terms; these do not replace Ordera’s software obligations. The fourteen (14) day first-payment commercial guarantee, with an optional reason, supplements applicable statutory rights. Logging in or using the service does not imply a waiver of withdrawal rights.
A confirmed full refund removes only coverage funded by the refunded payment and requests cancellation of its renewal. Other paid periods and an unexpired free trial retain their coverage. A partial refund is recorded without removing period access. If no current coverage remains, operations are blocked; the owner retains billing and support access. A refund does not create a new debt for the returned amount or delete data. External cancellation takes effect when confirmed by the provider.
